Terms of Service

Please read these Terms of Service ("Terms") carefully before using ShopOps COO (the "Service") operated by ShopOps COO ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

ShopOps COO is an AI-powered analytics and operations platform for Shopify merchants. It connects to your Shopify store via the Shopify API, analyzes your store data, and provides insights, recommendations, risk alerts, and an AI assistant.

The Service is offered on a subscription basis. Features available to you depend on your current subscription plan.

2. Eligibility

• You must be at least 18 years old to use the Service.
• You must have the legal authority to accept these Terms on behalf of yourself or your business.
• You must operate a valid Shopify store to use the full functionality of the Service.
• The Service is for business use only, not personal or consumer use.

3. Account Registration

You must create an account to use the Service. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

You must notify us immediately at legal@shopopscoo.com if you suspect unauthorized access to your account.

4. Shopify Integration

The Service requires you to authorize access to your Shopify store via OAuth. By connecting your store, you grant us permission to read the data described in our Privacy Policy.

Your use of Shopify is separately governed by Shopify's Terms of Service and Acceptable Use Policy. We are an independent third-party and are not affiliated with Shopify Inc.

5. Subscription and Billing

5.1 Plans

ShopOps COO offers a free plan and paid plans (Starter, Growth, Scale). Plan features, credit limits, and pricing are as described on the pricing page at www.shopopscoo.com/billing.

5.2 Shopify Billing

Paid subscriptions are billed through Shopify's recurring application charge system. By upgrading to a paid plan, you authorize Shopify to charge your merchant account on a recurring monthly or annual basis at the selected plan rate. Billing is handled by Shopify and subject to their billing policies.

5.3 Trial Periods

Starter and Growth plans include a 14-day free trial. You will not be charged until the trial period ends. You may cancel before the trial ends without being billed.

5.4 Cancellation

You may cancel your subscription at any time by uninstalling the app from your Shopify admin or by contacting us. Upon cancellation, you retain access to paid features until the end of your current billing period. We do not provide pro-rated refunds for partial billing periods except as required by applicable law.

5.5 Price Changes

We may change subscription prices with 30 days' notice. Notice will be given via email and/or in-app notification. Continued use after the notice period constitutes acceptance of the new price.

6. AI Credits

AI features (daily briefs, risk analysis, AI chat) consume credits from your monthly credit allocation. Credit allocations reset at the start of each billing period and do not roll over. When credits are exhausted, AI features are unavailable until the next period or a plan upgrade.

AI outputs are generated by large language models and may contain errors or inaccuracies. You are responsible for verifying AI recommendations before acting on them.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Use the Service to scrape, harvest, or collect data beyond your own store
• Share your account credentials with others or resell access to the Service
• Use the Service in a way that could damage, disable, or impair our systems
• Misrepresent your identity or affiliation in connection with the Service

8. Intellectual Property

The Service, including its software, design, AI models, and content (excluding your store data), is owned by ShopOps COOand protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.

You retain all rights to your store data. By using the Service, you grant us a limited license to process your store data solely to provide the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated insights, recommendations, or risk alerts are accurate, complete, or suitable for your business decisions
• Any particular business outcome will result from using the Service

ShopOps COO is a tool to support your decision-making, not a substitute for professional financial, legal, or business advice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPOPS COO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ShopOps COO and its officers, directors, employees, and agents from and against any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Service Availability and Changes

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time. We will provide reasonable notice for material changes. We are not liable for any modification, suspension, or discontinuation.

We may update features, credit costs, or plan inclusions at any time. Material changes to paid plan inclusions will be communicated with at least 30 days' notice.

13. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including Sections 8–12) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which ShopOps COO is incorporated, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service will first be subject to good-faith negotiation. If unresolved after 30 days, disputes will be submitted to binding arbitration under applicable arbitration rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before the effective date. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
